The ideal candidate will possess extensive corporate transactional experience, focusing on MA, and demonstrate strong leadership qualities. Admission to the California Bar or eligibility for admission is required, with additional bar admissions in Arizona, Colorado, and/or Nevada considered advantageous.Job Duties:Lead and manage Mergers and Acquisitions transactions from inception to completion.Provide legal counsel and strategic advice to clients on complex corporate matters.Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and other relevant contracts.Conduct due diligence investigations and risk assessments.Collaborate with other attorneys and professionals to ensure successful deal execution.Cultivate and expand client relationships to grow a portable book of business.Mentor and supervise junior attorneys and support staff.Stay abreast of legal developments, regulations, and industry trends relevant to corporate transactions.Requirements:Minimum of 8+ years of corporate transactional experience, focusing on Mergers and Acquisitions.Admission to the California Bar or eligibility for admission.Additional bar admissions in Arizona, Colorado, and/or Nevada are preferred.Proven track record of successfully leading and closing MA deals.Strong business acumen and understanding of corporate finance principles.Excellent negotiation, communication, and interpersonal skills.Ability to thrive in a fast-paced, dynamic work environment.Demonstrated leadership capabilities and a collaborative mindset.Portable book of business is highly desirable.Education:Juris Doctor (JD) degree from an accredited law school.Advanced degree or certification in business, finance, or related field preferred.Certifications:Active membership in relevant state bar associations.Continuing legal education (CLE) credits as required by state bar rules.Skills:Proficiency in corporate law principles and regulations.Advanced legal drafting and contract negotiation skills.Strong analytical and problem-solving abilities.Ability to prioritize tasks and manage multiple projects simultaneously.Leadership and mentorship capabilities.Client relationship management and business development skills.
