Job Overview:The Corporate Business Law Associate Attorney will counsel clients on various legal matters, including corporate transactions, mergers and acquisitions, business formation, and compliance issues. They will play a pivotal role in navigating the challenges faced by clients in a dynamic business environment. Responsibilities include advising clients on business entity formation, negotiating and drafting legal documents, handling mergers and acquisitions, representing businesses in disputes and litigation, staying updated on changes in laws affecting business clients, developing risk management strategies, and fostering client relationships. The ideal candidate should possess a Juris Doctor (JD) from an accredited law school, be admitted to practice law in the State of New York, have 3-6 years of experience, excellent analytical and communication skills, attention to detail, and proficiency in legal research platforms such as Westlaw or LexisNexis. Duties:Counsel clients on various legal matters including corporate transactions, mergers and acquisitions, business formation, and compliance issuesAdvise and represent clients in business entity formation and negotiationsDraft, review, and negotiate legal documents related to corporate transactionsHandle mergers and acquisitions, including due diligence and overseeing closing proceduresRepresent businesses in disputes and litigation, working closely with the litigation departmentStay updated on changes in laws affecting business clientsDevelop risk management strategies and compliance protocolsFoster and maintain client relationships, tailoring legal assistance to individual client needs Requirements:Juris Doctor (JD) from an accredited law schoolAdmission to practice law in the State of New York3-6 years of experience in corporate business lawExcellent analytical, negotiation, and communication skillsDetail-oriented with the ability to work autonomously and within a teamProficiency in legal research platforms such as Westlaw or LexisNexis Benefits:Competitive compensation packageRobust benefits programSupportive environment fostering career growth and work-life balance Law offices are based in three cities in New York.
