Five (5) years of experience as an attorney required, which must include: Representing companies and private equity firms in connection with cross-border and domestic asset and share sales and purchases, mergers, corporate restructurings; prepare disclosure schedules and legal diligence memoranda; reviewing and negotiating buy-side and sell-side non-disclosure agreements; drafting and revising merger agreements, asset purchase agreements, share purchase agreements and other ancillary transaction documents, including assignment and assumption agreements, registration rights agreements, shareholders agreements, disclosure schedules, SEC filings, officers certificates and restructuring documents; drafting legal due diligence memoranda; drafting and revising corporate organization documents including charters, bylaws, certificates of formations, operating agreements and authorizing resolutions of entities formed in connection with mergers and acquisitions; coordinating with in-house business functions and business consultants; representing public companies on initial public offerings, common stock and preferred stock offerings and asset backed financings; and managing client teams and local counsel in non-U.S. jurisdictions, including due diligence processes. New York State Bar Licensure required. Juris Doctor (J.D.) or foreign equivalent required. New York State Bar Licensure required.
