Planned Parenthood Federation of America (PPFA) is a 501(c)(3) charitable organization that supports the independently incorporated Planned Parenthood affiliates operating health centers across the U.S. Planned Parenthood Action Fund is an independent, nonpartisan, not-for-profit membership organization formed as the advocacy and political arm of Planned Parenthood Federation of America. The Action Fund engages in educational, advocacy, and electoral activity, including grassroots organizing, legislative advocacy, and voter education.As a member of the Office of the General Counsel, the Associate General Counsel will specialize in privacy and data security and will provide senior leadership and business partners with first-rate, effective, and reliable legal counsel. The Associate General Counsel reports to the General Counsel (in the interim). Purpose: The Associate General Counsel will be principally charged with supporting the PPFA and Action Fund (collectively, National Office) information technology, information security and data-driven initiatives and leading organizational privacy compliance and will provide strategic legal counsel, subject matter expertise and thought partnership in data security and privacy. Engagement *Provide counsel and advice to National Office stakeholders and senior leaders to ensure security, privacy and other risk-related issues are considered for existing and new initiatives in data processing and technology*Build and maintain strong and trusted relationships with internal and external stakeholders *Collaborate with key members of OGC, National Office management, and other stakeholders such as the Chief *Information Officer to ensure the National Office has and maintains appropriate practices and procedures regarding the privacy and confidentiality of protected information Delivery: The Associate General Counsel's duties and responsibilities include: *Advise and provide subject matter expertise on all aspects of U.S. privacy and information-management laws and regulations applicable to non-profit institutions.*Collaborate with key stakeholders to develop, iterate, and effectively implement the National Office's data privacy strategy, policies and controls to minimize risk, ensure the confidentiality of protected information (e.g., health care, supporter, and donor information), and comply with relevant state and federal laws (including HIPAA) *Assess and advise on the structure of programs, projects and policy initiatives relating to information technology, information security, and cybersecurity to ensure legal and regulatory compliance and to mitigate risk *Lead negotiations in disputes and/or regulatory matters concerning privacy or information management*Manage privacy and information management legal matters handled by outside counsel*Coordinate data security and information privacy trainings *Respond to privacy-related breach or non-compliance, manage investigations and ensure that appropriate corrective action is taken*Monitoring Business Associate compliance programs, and ensuring appropriate agreements are in place*Actively participating in data privacy and data governance committees or work groups*Monitor and assess federal and state data security, privacy, and consumer protection laws and regulations, understand and monitor the evolution of related best practices, and assess how legal requirements affect and best practices could assist Planned Parenthood initiatives*Draft and negotiate complex agreements, including those concerning information technology, information security, and data use *Provide oversight of related contractual provisions such as data and financial processing agreements, contracts and clauses*Advise on corporate and/or general non-for-profit corporate and governance matters*Consider and assess internal structures and transactions with related organizations, third party organizations, and vendors Knowledge, Skills and Abilities *Education: Juris Doctor (JD) from an ABA accredited law school *Bar Admission: Eligible to practice in New York or Washington, DC Experience: *Eight or more years as a practicing attorney in the areas of privacy law and corporate/transactional law *Subject matter experience in federal and state privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA)*Experience designing and implementing an organizational privacy compliance program, ideally involving health data *Sophisticated and substantive experience advising complex health care or technology clients as in-house counsel and/or at a law firm is preferred*Experience with legal issues pertaining to electronic health records is a plus Competencies*Exceptional research, analytical, and problem-solving skills, with the ability to think strategically and creatively about legal and business issues*Ability provide sound business advice as well as first-rate legal counsel to business partners at all levels, including executive team and senior leaders *Excellent interpersonal skills and ability to positively and successfully manage relationships with a diverse group of stakeholders across organizational lines *Ability to exercise agility, adaptability, and practicality in providing legal advice*Commitment to providing professional, authoritative, and timely legal advice and services to all clients *Excellent judgment and proven experience analyzing risks and making risk determinations *Excellent written and verbal communication skills, including the ability to translate complicated legal concepts into accessible language for a wide audience*Ability to excel under pressure in a fast-paced, highly innovative, and rapidly changing environment*Ability to work collaboratively with program and operations teams*Knowledge of and sensitivity to different racial/ethnic and socioeconomic backgrounds, and people with different gender identities, cultural differences and disabilities.*Must be client-focused and committed to "getting to yes" Travel: 0-20% Salary: $160k-$190k Total offer package to include generous vacation + sick leave + paid holidays, individual/family provided medical,
