Practice Area: Corporate - General,Corporate - Securities and Capital Markets, Job Type: Attorney, Firm Type: Law Firm, Experience: 5 Years, Job Overview: A law firm seeks an experienced Corporate and Securities Attorney to join its expanding practice in Troy, MI. The ideal candidate will have 5-10 years of experience specializing in corporate, transactional, and securities law matters, with proficiency in advising clients on various legal issues pertinent to business operations and transactions.Duties:Advise clients on forming and operating Delaware (and other state) corporations and limited liability companies.Counsel new companies on entity selection and structure.Ensure compliance with federal and state securities laws and manage related filings.Structure equity allocations for founders and employees of startup companies.Implement equity incentive plans, including stock options and restricted stock purchases.Draft board resolutions, stockholder agreements, and other corporate governance documents.Guide directors and executive officers on corporate governance matters.Maintain corporate records and manage stockholder communications.Facilitate issuance and transfer of capital stock.Handle seed and venture capital financing transactions.Assist in mergers, acquisitions, and dispositions.Navigate through founder and employee disputes as they arise.Draft and negotiate various commercial agreements, including NDAs, MSAs, JDAs, Terms of Use, and Privacy Policies.Address basic tax, employment, and intellectual property issues that impact corporate transactions.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the state bar in Michigan (additional state admissions a plus).5-10 years of relevant experience in corporate and securities law practice.Strong knowledge of corporate governance principles.Familiarity with federal and state securities regulations and filings.Experience in handling complex corporate transactions from inception to closing.Excellent drafting and negotiation skills.Ability to provide practical legal advice in a fast-paced environment.Strong analytical and problem-solving skills.Skills:Proficiency in corporate, transactional, and securities law.Exceptional written and verbal communication skills.Attention to detail and accuracy in legal drafting.Ability to work collaboratively as part of a team.Strong organizational and time management skills.Capability to manage multiple priorities and deadlines effectively.Commitment to maintaining high ethical standards and client confidentiality.Certifications (Optional):Certification in Corporate Law (e.g., through state bar associations or recognized legal organizations) is advantageous. This firm offers a full line of intellectual property legal services, including domestic and international prosecution of patents and trademarks, litigation in the federal courts and administrative tribunals, and licensing and commercial technology transactions.
