Job Overview:Take a lead role in advising clients on acquisitions, divestitures, mergers, joint ventures, and private equity transactions.Manage due diligence processes and draft ancillary agreements to facilitate seamless transaction execution.Contribute to all aspects of transactions, from initial negotiations to post-closing matters. Duties:Conduct due diligence investigations and analyze findings to identify potential risks and opportunities.Draft and negotiate transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.Provide legal counsel to clients on deal structuring, regulatory compliance, and corporate governance matters.Collaborate with cross-functional teams, including tax, finance, and regulatory experts, to ensure comprehensive transactional support. Requirements:2-4 years of experience in mergers and acquisitions transactions at a reputable law firm or in-house legal department.Admitted to the California Bar.Strong academic credentials, including a Juris Doctor (JD) degree from an accredited law school.Demonstrated expertise in leading due diligence processes and drafting transactional documents.Excellent written and verbal communication skills.Ability to work independently and as part of a team in a fast-paced, deadline-driven environment. Certifications:Admission to the California Bar. Skills:Proficiency in legal research tools and databases.Attention to detail and accuracy in document review and drafting.Strong analytical and problem-solving abilities.Negotiation skills and the ability to advocate effectively on behalf of clients.Client-focused approach and the ability to build strong working relationships.
