Practice Area: Corporate - Securities and Capital Markets,Corporate - M&A,Corporate - General, Job Type: Attorney, Firm Type: Law Firm, Experience: 3 Years, A law firm in Portland is seeking an Associate Attorney with 3 to 7 years of business transactional experience. The ideal candidate should have strong academic credentials, be detail-oriented, client-focused, and capable of producing outstanding work product. Experience in MA, equity financings, and private securities offering is a plus. The candidate must be a member of or eligible to waive into the State Bar of Oregon. Duties:Assist in the drafting and negotiation of business contracts, agreements, and other legal documents.Conduct legal research and analysis on various business transactional matters.Participate in due diligence reviews for mergers and acquisitions.Provide legal advice and guidance to clients on business transactions and corporate governance matters.Collaborate with partners and senior attorneys on complex business transactions.Assist with the preparation of corporate documents, including formation, dissolution, and restructuring.Review and analyze corporate governance documents and policies.Handle administrative tasks related to client matters, including file management and document organization.Attend meetings and conference calls with clients and other parties as necessary.Maintain regular communication with clients to provide updates and address concerns. Requirements:Juris Doctor (JD) degree from an accredited law school.3 to 7 years of business transactional experience.Strong academic credentials.Member of or eligible to waive into the State Bar of Oregon.Detail-oriented with excellent organizational skills.Client-focused with strong communication and interpersonal skills.Ability to work independently and as part of a team.Capable of producing high-quality work product under tight deadlines. Education:Juris Doctor (JD) degree from an accredited law school. Certifications:Member of or eligible to waive into the State Bar of Oregon. Skills:Strong legal research and analytical skills.Excellent drafting and negotiation skills.Client-focused with strong communication and interpersonal skills.Detail-oriented with excellent organizational skills.Ability to work independently and as part of a team.Capable of producing outstanding work product under tight deadlines.
