Practice Area: Corporate - Securities and Capital Markets, Job Type: Attorney, Firm Type: Law Firm, Experience: 4 Years, Job Overview: A law firm is seeking a dynamic Mid-to-Senior-Level Capital Markets Associate Attorney with 4-6 years of experience in U.S. capital markets. The ideal candidate will have a strong background in representing underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings. Experience in representing public companies in the '34 Act work is advantageous for this role.Duties:Provide legal counsel and support to clients in capital markets transactions, including IPOs, follow-on public offerings, and private placements.Draft and review transaction documents, including prospectuses, offering memoranda, and underwriting agreements.Conducted due diligence and assisted with regulatory compliance matters related to securities offerings.Collaborate with internal teams and external parties to ensure smooth execution of transactions.Research and analyze relevant legal issues and provide recommendations to clients.Requirements:4-6 years of experience in capital markets law.Admission to the New York State Bar or eligibility to waive in.Proven experience in representing underwriters, issuers, and placement agents in securities offerings.Familiarity with SEC regulations and '34 Act compliance.Excellent written and verbal communication skills.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the New York State Bar or eligibility to waive in.Skills:Strong legal research and analytical skills.Ability to work efficiently under pressure and meet tight deadlines.Attention to detail and accuracy in drafting legal documents.Effective communication and interpersonal skills.Team player who can collaborate across different departments and with external stakeholders.
