The ideal candidate should have experience with negotiating and drafting tax-related provisions for various transaction documents, including purchase agreements, merger agreements, partnership agreements, and credit agreements. Additionally, candidates should have experience researching complex tax issues and structuring the tax aspect of corporate and partnership transactions. A transactional tax practice background is required, with experience in tax planning related to transactions in areas such as mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and/or private credit. Duties:Negotiate and draft tax-related provisions for transaction documents, including purchase agreements, merger agreements, partnership agreements, and credit agreements.Research complex tax issues and provide guidance on tax implications of corporate and partnership transactions.Structure the tax aspect of corporate and partnership transactions to optimize tax efficiency and compliance.Collaborate with attorneys and clients to develop tax strategies that align with business objectives.Advise clients on tax planning and compliance matters related to various transactional activities.Analyze and interpret tax laws, regulations, and rulings to ensure compliance and minimize tax liability.Prepare and review tax opinions, memoranda, and other legal documents.Stay updated on changes in tax laws and regulations affecting clients' businesses. Requirements:Juris Doctor (J.D.) degree from an accredited law school.Active admission to the State Bar of New York.3-6 years of experience in a transactional tax practice.Experience negotiating and drafting tax-related provisions for transaction documents.Strong research and analytical skills.Knowledge of corporate and partnership transactions.Familiarity with tax planning strategies in areas such as mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and/or private credit. Education:Juris Doctor (J.D.) degree from an accredited law school. Certifications:Active admission to the State Bar of New York. Skills:Negotiation and drafting skills.Research and analytical skills.Tax planning and compliance expertise.Knowledge of corporate and partnership transactions.Strong communication and interpersonal skills.Attention to detail and ability to manage multiple tasks.Ability to work effectively in a team environment.
