The ideal candidate should have a strong background in working on sophisticated MA transactions, both private and public. Additional experience in capital markets transactions, corporate governance/fiduciary duty counseling, and securities law compliance matters will be considered a significant plus. Duties:Lead and participate in sophisticated MA transactions, both private and public.Provide legal counsel on capital markets transactions.Advise clients on corporate governance and fiduciary duty matters.Handle disclosure and other securities law compliance matters.Draft and review legal documents, contracts, and agreements.Conduct due diligence and legal research as needed. Requirements:Minimum of 4 years of major law firm experience.Substantial experience in sophisticated MA transactions.Additional experience in capital markets, corporate governance, and securities law compliance is a plus. Education:Juris Doctor (J.D.) degree from an accredited law school. Certifications:Admission to practice law in the relevant jurisdiction. Skills:Strong understanding of MA transactions.Legal research and analytical abilities.Excellent written and oral communication skills.Ability to handle complex legal negotiations.Experience with capital markets and securities law compliance.Detail-oriented and organized approach to legal responsibilities.
