The ideal candidate will have experience representing private fund sponsors and institutional investors on complex fund formation matters, co-investments, and secondary transactions.Duties:Advise clients on all aspects of private equity fund formation, including drafting and negotiating limited partnership agreements, subscription agreements, and side letters.Conduct due diligence on fund structures, regulatory compliance, and securities law issues.Assist with the structuring and formation of private equity funds, including drafting offering memoranda, private placement memoranda, and organizational documents.Collaborate with partners, clients, and other stakeholders to develop and implement fund formation strategies.Review and analyze fund documents, including partnership agreements, investment management agreements, and related agreements.Provide legal advice and support on co-investments, secondary transactions, and other fund-related matters.Stay current on developments in fund formation laws, regulations, and industry trends.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Illinois Bar or eligibility to waive into the Illinois Bar.3-6 years of experience in private equity fund formation at a reputable law firm.Strong understanding of private equity fund structures, terms, and regulatory requirements.Experience representing private fund sponsors and institutional investors.Excellent drafting and negotiation skills.Ability to work independently and collaboratively in a fast-paced environment.Strong analytical and problem-solving skills.Exceptional attention to detail and organizational abilities.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the Illinois Bar or eligibility to waive into the Illinois Bar.Skills:Experience representing private fund sponsors and institutional investors.Strong drafting and negotiation skills.Excellent analytical and problem-solving abilities.Ability to work independently and collaboratively.Exceptional attention to detail and organizational skills.
