The ideal candidate will have applicable Bar admission for the jurisdiction of interest, strong academic credentials, and excellent oral and written communication skills. Duties:Advise clients on corporate, MA, securities, and finance transactions.Draft and negotiate transactional documents, including merger agreements, stock purchase agreements, and financing documents.Conduct due diligence and risk assessments for transactions.Provide legal advice and counsel on regulatory compliance matters.Assist with corporate governance matters, including board meetings and shareholder agreements.Collaborate with other attorneys, paralegals, and legal staff on transactional matters.Communicate effectively with clients, opposing counsel, and other stakeholders.Stay updated on changes in laws and regulations relevant to corporate, MA, securities, and finance transactions.Manage multiple transactions simultaneously while meeting deadlines and client expectations. Requirements:Applicable Bar admission required for the jurisdiction of interest.6+ years of experience with corporate, MA, securities, and/or finance transactions.Strong academic credentials.Excellent oral and written communication skills.Ability to work independently and as part of a team.Detail-oriented with strong organizational skills.Ability to handle confidential information with discretion. Education and Certifications:Juris Doctor (J.D.) degree from an accredited law school.Applicable Bar admission for the jurisdiction of interest. Skills:Proficiency in corporate, MA, securities, and finance transactional matters.Strong negotiation and drafting skills.Analytical and problem-solving abilities.Ability to manage multiple transactions and prioritize tasks effectively.Commitment to providing high-quality legal services to clients.
