The ideal candidate should have significant experience working on corporate and partnership MA transactions, including drafting and negotiating tax provisions in transaction documents and researching, analyzing, and resolving tax issues under Subchapter C of the Internal Revenue Code. Additionally, experience in the formation of joint ventures, drafting and negotiating partnership and LLC agreements, and resolving tax issues under Subchapter K of the Code is highly valued. Experience in the private equity space is also desirable.Duties:Work on corporate and partnership MA transactions.Draft and negotiate tax provisions in transaction documents.Research, analyze, and resolve tax issues under Subchapter C of the Internal Revenue Code.Assist in the formation of joint ventures.Draft and negotiate partnership and LLC agreements.Research, analyze, and resolve tax issues under Subchapter K of the Code.Apply expertise to transactions in the private equity space.Requirements:3+ years of experience at an Am Law 100 or Am Law 200 firm.Significant experience in corporate and partnership MA transactions.Proficiency in drafting and negotiating tax provisions in transaction documents.In-depth knowledge of tax issues under Subchapter C of the Internal Revenue Code.Experience in the formation of joint ventures.Proficiency in drafting and negotiating partnership and LLC agreements.Strong understanding of tax issues under Subchapter K of the Code.Experience in the private equity space (preferred).Education:Juris Doctorate (JD) from an accredited law school.Certifications:Bar admission in the state of practice.Skills:Tax analysis and resolution.Transaction document drafting and negotiation.MA transaction experience.Research and legal analysis.Partnership and LLC agreement drafting.Subchapter C and Subchapter K expertise.
