Job Description:Huntsman is seeking a Sr. M&A Counsel located in The Woodlands, Texas. This position will report to the Deputy General Counsel, Corporate Services.Here, you can make an impact and make a difference. Come join us.The Mergers & Acquisitions Counsel is responsible for managing and executing the Company's diverse transactional docket, including acquisitions, divestitures, joint ventures, investments, material licenses and mergers, working with the Company's Deputy General Counsel and its General Counsel, and the Corporate Development Department. In addition to project management, the Senior M&A Counsel will be responsible for:As a Sr. M&A Counsel, you will:Counseling and advising on all aspects of transactions;Conducting due diligence;Identifying business and legal risks/issues and proposing practical solutions;Negotiating, drafting and reviewing transaction documents;Coordinating legal and functional experts in due diligence and negotiation efforts;Managing outside counsel; and Interacting with local and national cross-functional and corporate development teams.The position is based at the Company's headquarters in The Woodlands, Texas, will require some travel.Qualifications:JD degree with excellent academic credentials.Licensed to practice and in good standing with an applicable state bar.Six to ten years of meaningful transactional experience, including significant M&A work, at a top tier law firm with a national practice.Experience as a principal on transactions.Some in-house transactional experience at a multi-national company a plus.Working knowledge of M&A market trends.Experience writing diligence memorandums, creating deal summaries and explaining complex transactional issues and terms in plain English.Demonstrated project management skills.Demonstrated ability to handle a fast paced, demanding work environment.Personal AttributesHighly ethical, able to maintain confidentiality, and handle highly-sensitive information;Outstanding written and verbal communication skills;Judgment, tact, collegiality and cooperation when dealing with people at all levels, inside and outside the business;Practical, proactive, business-savvy and highly motivated;Ability to collaborate across functional groups and develop mutually collaborative relationships;Ability to influence individuals outside direct reporting relationships (both up and down in the organization); andAbility to work with a culturally diverse group of individuals who sit in multiple locations.Other Skills and SpecificationsExperience working in a global and/or matrixed organization a plus,Demonstrated team player with developed sense of both situational and organizational awareness; andMust be able to handle broad ranging workload, prioritize, work independently, manage expectations and be well organized.The candidate must have an unrestricted right to work for Huntsman in the United States.Huntsman offers outstanding benefits which start from Day One.Competitive healthcare, dental, vision and wellness programsOne additional week of paid time off - on top of vacation.401(k) - Huntsman automatically contributes 6% of eligible pay, regardless of employee contribution.
