Practice Area: Corporate - Securities and Capital Markets,Corporate - M&A, Job Type: Attorney, Firm Type: Law Firm, Experience: 5 Years, A law firm in Atlanta is seeking a highly experienced Mid/Senior-level Securities Associate Attorney to join its dynamic Securities Team and Financial Institutions Team. The candidate will play a pivotal role in supporting public company clients, managing securities law matters, and providing valuable expertise in capital markets projects, MA, and compliance with federal and state securities laws. Duties:Support public company clients in meeting regular periodic reporting requirements and ensure compliance with federal and state securities laws, particularly the '34 Act reporting.Assisted in capital markets projects, including equity and debt offerings, and provided comprehensive support for securities offerings and capital markets transactions.Draft, review, or advice on routine SEC filings, including Form 10-K, Form 10-Q, Form 8-K, Proxy Statements, and Section 16 filings.Provide guidance on general securities disclosure matters, such as press releases, earnings releases, and investor presentations.Prepare and periodically update corporate governance and related policies, including Corporate Governance Guidelines, Clawback Policies, and Insider Trading Policies.Advise clients on compliance with NYSE and Nasdaq requirements, including annual and periodic updates.Assist in the preparation and planning of annual stockholder meetings and shareholder engagements.Work with the firm's securities team to draft and publish blog entries and alerts on material securities law developments.Coordinate training on securities and corporate governance matters, including insider trading and Regulation FD. Requirements:Juris Doctor (JD) degree from an accredited law school.Active Bar membership in the state of Georgia.5+ years of direct experience in securities law, capital markets, and general MA. Skills:Strong knowledge of federal and state securities laws, particularly the '34 Act reporting.Experience in capital markets transactions, including equity and debt offerings.Ability to deal directly with clients and serve as a front-line support for securities law matters.Excellent drafting and reviewing skills for SEC filings and corporate governance documents.Familiarity with NYSE and Nasdaq requirements.Effective communication and training skills for client interactions and internal team coordination.A proactive approach to staying abreast of material securities law developments.
