The ideal candidate will play a crucial role in advising clients on complex MA transactions, ensuring compliance with relevant laws, providing strategic legal counsel, and collaborating closely with the corporate team. This role demands a highly skilled professional with strong negotiation and drafting abilities, as well as a proactive, self-motivated approach to problem-solving.Duties:Provide expert legal advice and counsel on a wide variety of corporate and commercial matters, including MA transactions, business formations, governance, compliance, and contracts.Offer legal support throughout the entire transaction lifecycle, from initial due diligence to post-closing integration.Draft, review, and negotiate a range of MA-related agreements, such as purchase agreements, shareholder agreements, and merger agreements.Oversee and manage transaction documents and agreements, maintaining comprehensive and accurate records of all legal documents and correspondence.Collaborate with clients to understand their strategic objectives and provide legal advice that aligns with their business goals.Work collaboratively with internal teams and partners to deliver comprehensive legal services to clients.Ensure compliance with relevant laws and regulations throughout all phases of transactions.Develop and implement strategic legal solutions to complex business issues.Maintain up-to-date knowledge of market trends and legal developments impacting MA and corporate governance.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Bar admission in New Jersey; admission to the New York Bar is a plus.5+ years of sophisticated experience in MA transactions, corporate governance, or related legal areas, preferably from a reputable BigLaw firm.Excellent negotiation, drafting, and communication skills.Strong analytical and critical thinking abilities.Ability to work under pressure to meet strict deadlines and manage multiple projects simultaneously.Strong commercial and business acumen with a track record of delivering creative and pragmatic solutions.Exceptional interpersonal skills and the ability to build and maintain strong client relationships.Proficiency in Microsoft Office and various document management software.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Bar admission in New Jersey; New York Bar admission is a plus.Skills:Expertise in MA transactions and corporate governance.Proven ability to draft, review, and negotiate complex agreements.Strong analytical, critical thinking, and problem-solving skills.Excellent communication and interpersonal abilities.Ability to manage multiple projects and work effectively under pressure.Proficiency in Microsoft Office and document management software.Job Location:Roseland, NJExperience:5+ years of sophisticated experience in MA transactions, corporate governance, or related areas, with a preference for experience in a reputable BigLaw firm.Benefits Offered:Competitive Salary Comprehensive Benefits Package.Ongoing Opportunities for Professional Growth and Development.Collaborative and Supportive Work Environment.Recognition and Celebration of Individual Contributions.Contribution to Firm’s Philanthropic Initiatives.Opportunity to Make a Substantial Impact Within the Firm.
