The ideal candidate will have experience managing substantial transaction components independently and working collaboratively within teams. The role involves representing technology companies across various corporate and transactional matters, including venture financings, mergers and acquisitions, and public and private offerings.Key Responsibilities:Represent technology companies in early and late-stage venture financings.Advise clients on mergers and acquisitions, including due diligence, negotiation, and deal structuring.Assist in the preparation and execution of private and public offerings.Manage substantial components of transactions, ensuring thorough documentation and timely completion.Collaborate with partners and senior associates on complex corporate and transactional matters.Draft, review, and negotiate a wide range of transactional documents.Provide strategic legal advice to clients on corporate governance, compliance, and other business-related legal issues.Conduct legal research and stay updated on relevant laws and regulations affecting the technology sector.Participate in business development efforts, including client meetings and presentations.Requirements:Experience in corporate law, with a focus on representing technology companies.Proven ability to manage significant components of transactions independently.Strong background in venture financings, mergers and acquisitions, and securities offerings.Excellent drafting, negotiation, and communication skills.Demonstrated ability to work effectively in a team-oriented environment.Experience in managing client relationships and providing high-quality client service.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the New York State Bar or eligibility to obtain admission promptly.Skills:In-depth knowledge of corporate and transactional law, particularly in technology.Strong analytical and problem-solving abilities.Excellent interpersonal skills and the ability to build strong client relationships.Ability to work under pressure and meet tight deadlines.Proficiency in legal research tools and technology.Detail-oriented with strong organizational skills.
