Director and Associate General Counsel : corporate Transactions
We currently have a unique oppportunity in our Herndon, Virginia office for an Attorney to support our Corporate Transactions team in document drafting, review and negotiation regarding a wide variety of the Companys corporate transactions and contractual relationships. This individual will also at times provide support to Corporate Finance in connection with funding activities. The Legal team is currently working remotely which has the potential of changing to working in the office at a future undetermined date. Essential Job Functions: : Advise and support internal business teams in drafting, reviewing and negotiating information technology, outsourcing, professional services and other vendor contracts.: Advise and support internal business teams in drafting, reviewing, and negotiating customer contracts (including federal, state and local government contracts).: Advise and support internal business teams in drafting, reviewing and negotiating confidentiality agreements.: Advise and support the real estate team in drafting, reviewing existing and proposed leases and in resolving periodic issues concerning the Companys rights and obligations.: Provide general legal advice and support to various internal business teams regarding miscellaneous legal questions. : Advise and provide legal support Corporate Finance team with various funding activities by drafting, reviewing and negotiating disclosure, transaction documents and various other agreements and coordinating and managing transaction process.: Advise and provide legal support on loan or asset sale and acquisitions by drafting, reviewing and negotiating sale and servicing contracts. REQUIREMENTS: : Juris Doctor (JD) from an accredited U.S. law school.: Membership in good standing in at least one state bar.: Minimum 3+ years of experience in a law firm or corporate law department drafting, reviewing and negotiating a wide variety of corporate transactions and contractual relationships. PREFERRED QUALIFICATIONS: : Strong communication skills (both written and oral) for numerous types of audiences including both internal and external stakeholders.: Excellent attention to detail and ability to manage deal process, with significant organizational, project and program management skills.: Ability to collaborate and maintain strong working relationships with clients.: Ability to provide consistent, high:quality legal analysis, advice and document drafting.: Ability to work under pressure independently, as well as part of a team.: Ability to effectively supervise outside attorneys when directed by the CLO or senior attorneys.: Adaptability to changing demands.: Strong legal/financial/business acumen and ability to work effectively and multitask successfully in fast:paced and complex business environment.: Intermediate to advanced computer skills; working knowledge of Microsoft Word, PowerPoint, SharePoint and Excel preferred.
