The candidate will draft documentation for various corporate transactions, including financings, acquisitions, dispositions, and real estate. Draft resolutions, votes, certificates, and other corporate documents, review contracts, and provide correspondence to clients and other appropriate parties. Assist with closings and preparation for client meetings. Coordinate the legal due diligence process and create and monitor the electronic data room. Prepare and submit UCC filings, Secretary of State filings, and other corporate governance matters. Make initial drafts of estate planning documents. Make initial drafts of conveyance documents. Assistance in managing deposits, payments to insurance companies, Crummey notices, etc. Assist in all other duties as assigned. Must have a current license to practice law in Rhode Island. Massachusetts and Connecticut Bar admissions would be a plus. The law firm offers comprehensive legal services to its diverse base of clients. Its major practice areas include corporate law, public finance, commercial finance, and real estate law. The law firm is ranked regionally in the list of Best Law Firms by U.S. News and Best Lawyers publication. The firm's attorneys have over 30 years of experience in these practice areas. The firm's office is located in Providence, Rhode Island.Additional Skills: The candidate must have a JD degree. Must have strong analytical and organizational skills with close attention to detail. Must have excellent negotiation and communication skills. Must have the ability to interact professionally with clients. Must be able to manage multiple priorities in a fast-paced work environment, produce superior work results and follow through on commitments. Must be self-motivated, entrepreneurial and a team player. Must be an expert in Microsoft Office, Worldox, practice management and PDF software, etc.
