We are looking for a Corporate Transaction Attorney with 2-5+ years of experience in corporate law to handle a variety of transactional matters. The ideal candidate will have a strong background in drafting and negotiating contracts, conducting due diligence, and advising clients on corporate governance and compliance issues.Key Responsibilities: Manage and oversee corporate transactions, including mergers, acquisitions, and joint ventures. Draft, review, and negotiate a wide range of corporate documents, including purchase agreements, shareholder agreements, and operating agreements. Conduct thorough due diligence and prepare reports on findings. Advise clients on corporate governance, compliance, and regulatory matters. Collaborate with clients to understand their business objectives and provide strategic legal advice. Stay updated on changes in corporate law and regulations to ensure compliance and best practices. Assist in business development efforts and maintain strong client relationships.Qualifications: Juris Doctor (JD) from an accredited law school. Admission to the state bar in California. 2-5+ years of experience in corporate transactional law. Strong understanding of corporate governance and regulatory requirements. Excellent drafting, negotiation, and communication skills. Ability to work independently and as part of a collaborative team.
