The position offers growth potential within a collaborative team environment, where analytical skills and client service are highly valued.Key Responsibilities:Oversee and participate in all aspects of mergers, acquisitions, and other corporate transactions, from due diligence to closing.Provide advice and draft documentation for various corporate matters, including asset purchases, stock acquisitions, joint ventures, and reorganizations.Review and negotiate contracts, agreements, and other legal documents to support client business objectives.Assist clients in structuring and strategizing corporate transactions to meet both regulatory and financial objectives.Support senior attorneys and partners in complex legal transactions, offering well-researched insights and options.Engage directly with clients to understand and assess their goals, delivering clear, actionable legal recommendations.Stay updated on relevant legislation and legal trends to apply current knowledge to transactional and corporate matters.Requirements:5-8 years of experience in general corporate law, including experience in mergers and acquisitions, ideally within a law firm or similar professional setting.Admission to the Illinois bar and active membership in good standing.Proven success in drafting and negotiating corporate agreements and transactional documents.Demonstrated proficiency in managing multiple, concurrent projects, with strong organizational abilities.Educational Background:Juris Doctor (JD) degree from an accredited law school.Strong academic record with a demonstrated commitment to legal excellence.Certifications and Licensure:Licensed to practice law in the state of Illinois.Additional licensures or certifications relevant to corporate law are advantageous but not required.Key Skills and Competencies:Strong analytical and critical thinking skills, with an aptitude for detail-oriented and thorough legal analysis.Effective communicator with excellent written and verbal skills, able to convey complex information succinctly to clients and team members.Skilled in utilizing legal research platforms, office productivity tools, and document management systems.Adaptable and proactive approach to evolving corporate legal challenges and client needs.Benefits:Competitive 401(k) retirement plan with employer contributions.Comprehensive health and dental insurance plans.Subsidized gym membership to support employee wellness.Disability insurance to provide financial protection and support.
