The ideal candidate should possess extensive experience in capital markets transactions, corporate governance, and a strong academic background. This role will involve working on a variety of capital markets matters, including public offerings, private placements of equity and debt securities, and Exchange Act reporting.Duties:Provide legal counsel and support on capital markets transactions, including public offerings and private placements of equity and debt securities.Advise clients on Exchange Act reporting and compliance.Assist clients with corporate governance matters, including board and committee meetings, shareholder relations, and regulatory compliance.Draft, review, and negotiate transaction documents, securities filings, and other legal documents.Conduct legal research and analysis to ensure compliance with applicable laws and regulations.Collaborate with other attorneys, clients, and third-party professionals to effectively represent clients in legal matters.Stay updated on changes in securities laws and regulations and provide proactive guidance to clients.Requirements:4-7 years of experience in corporate securities and capital markets transactions at a reputable law firm.Strong academic credentials with a record of high achievement.Proficiency in corporate securities law and capital markets transactions.Education and Certifications: Juris Doctor (JD) degree from an accredited law school.Admission to the Texas Bar (or ability to obtain admission promptly).Skills:Exceptional research, writing, and analytical skills.Excellent communication and negotiation skills.Legal research and analysis.
