The ideal candidate will have 3-6 years of experience in buy-side and sell-side mergers, acquisitions, and dispositions, private and public securities law matters, entity formations, and venture capital and private equity financing transactions. The Corporate Attorney will play a crucial role in representing clients in general corporate matters, providing legal counsel on various transactions, and ensuring compliance with securities laws. The candidate should possess excellent communication skills and a strong commitment to client relationship development. Job Details:Assist firm members in representing clients in general corporate matters, including drafting and negotiating purchase agreements and related documents.Handle and advise clients regarding securities law compliance matters.Negotiate investment transactions on both company- and investor-side.Draft core company governance documents related to client operations and material transactions.Communicate in a highly responsive manner and deliver high-quality work-product.Effectively communicate at all levels of the firm and with firm clients.Demonstrate a strong desire to develop and grow strong client relationships at all levels of the client organization.Commit to enhancing knowledge on cutting-edge developments in area(s) of the attorney’s practice. Requirements:Experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running MA deal processes.J.D. degree from an ABA-accredited institution.Licensed Illinois, Michigan, California, or Texas attorney in good standing. Skills:Strong legal research and analytical skills.Excellent drafting and negotiation skills.Knowledge of securities law and corporate governance.Effective communication and interpersonal skills.Ability to work collaboratively in a team-oriented environment.Detail-oriented with a commitment to delivering high-quality work.Proactive in staying updated on legal developments in relevant areas of practice. Experience:3-6 years of experience in buy-side and sell-side mergers, acquisitions, and dispositions, private and public securities law matters, entity formations, and venture capital and private equity financing transactions. This established large firm based in Detroit with offices in several cities in Michigan serves clients in matters that include litigation, labor employment, banking, intellectual property, tax, and environmental law. Its clients range from corporations, large and small, governmental entities, and individuals with substantial business and charitable interests.
