The successful candidate will assist firm members in representing clients in various corporate matters, including drafting and negotiating purchase agreements, handling securities law compliance matters, negotiating investment transactions, and drafting core company governance documents. The role requires effective communication, a commitment to client relationship development, and a desire to stay updated on cutting-edge developments in corporate law. Job Details:Assist firm members in representing clients in general corporate matters.Draft and negotiate purchase agreements for clients.Handle and advise clients on securities law compliance matters.Negotiate investment transactions, both company- and investor-side.Draft core company governance documents related to client operations and material transactions.Communicate in a highly responsive manner and deliver high-quality work products.Effectively communicate at all levels within the firm and with clients.Develop and grow strong client relationships at all levels of the client organization.Commit to enhancing knowledge of cutting-edge developments in the attorney’s practice.Have experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running MA deal processes. Requirements:3-6 years of experience in a broad corporate practice.J.D. degree from an ABA-accredited institution.Licensed Michigan attorney in good standing.Broad transactional experience.Experience in entity and fund formations, venture capital and private equity financing transactions, buy-side, and sell-side mergers, acquisitions and dispositions, negotiating material commercial agreements, and/or securities matters. Skills:Strong organizational and prioritization skills.Effective communication at all levels.Negotiation skills for various corporate transactions.Drafting and reviewing legal documents.Commitment to client relationship development. This established large firm based in Detroit with offices in several cities in Michigan serves clients in matters that include litigation, labor employment, banking, intellectual property, tax, and environmental law. Its clients range from corporations, large and small, governmental entities, and individuals with substantial business and charitable interests. The firms environment is collegial, and lawyers seem to enjoy practicing law as well as each others company. Compensation at the firm is average.
