Practice Area: Corporate - Private Equity, Job Type: Attorney, Firm Type: Law Firm, Experience: 3 Years, Job Overview: A law firm in San Francisco, CA, is seeking a Corporate Investment Funds Associate Attorney with at least 3 years of experience in private equity fund formation and related fund operational matters.Duties:Provide legal advice and support on private equity fund formation and structuring matters.Draft and review fund documentation, including partnership agreements, offering memoranda, and subscription agreements.Conduct due diligence and research on investment opportunities and regulatory compliance.Collaborate with senior attorneys and clients to develop fund strategies and investment structures.Assist in negotiations and transactions related to fund investments and operations.Stay updated on relevant laws, regulations, and industry trends affecting investment funds.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to the California State Bar (or eligibility for admission).3 years of corporate law experience, focusing on private equity fund formation and related matters.Strong understanding of securities laws, investment regulations, and corporate governance principles.Excellent analytical, research, and communication skills.Ability to work independently and collaboratively in a fast-paced environment.Attention to detail and ability to manage multiple priorities effectively.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the California State Bar (or eligibility for admission).Skills:Proficiency in drafting legal documents and agreements.Strong analytical and problem-solving skills.Excellent communication and interpersonal skills.Ability to work effectively in a team environment.Knowledge of corporate finance and investment principles.Familiarity with fund formation and operational processes.
