Here's a comprehensive job description:Job Overview:The Corporate Associate Attorney will be crucial in handling various corporate and commercial projects for the law firm's clients. This position involves extensive client interaction, providing practical legal advice, and contributing to team-oriented projects.Duties:Review, draft, and negotiate various principal and ancillary agreements for commercial transactions, including supply, purchase, service, transportation, and related contracts.Provide pragmatic counsel to clients on corporate matters, ensuring legal compliance and optimal business outcomes.Collaborate with partners and other team members on complex corporate transactions, including mergers and acquisitions.Conduct legal research and analysis to support client matters and stay updated on relevant legal developments.Assist in due diligence processes and transactional closings, ensuring accuracy and efficiency.Handle administrative tasks related to client matters, including document management and file organization.Requirements:A bachelor's degree in law or a related field, as well as a Juris Doctor (JD) degree from an accredited law school, is preferred.Admission to the South Carolina State Bar or eligibility for admission through reciprocity.3-5 years of corporate transactional experience, focusing on mergers and acquisitions preferred.Strong business acumen and the ability to grasp complex business concepts quickly.Excellent written and verbal communication skills, with the ability to articulate legal concepts clearly and effectively.Detail-oriented with strong analytical and problem-solving skills.Proven ability to work effectively in a fast-paced, team-oriented environment.Willingness to ask questions, learn, and adapt to new challenges.Prior experience in a law firm setting is desirable.Certifications:Admission to the South Carolina State Bar or eligibility for admission through reciprocity.Skills:Legal drafting and negotiation skills.Proficiency in legal research and analysis.Strong communication and interpersonal skills.Business acumen and commercial awareness.Ability to work collaboratively in a team environment.Attention to detail and accuracy.
