The candidate will have the opportunity to work on traditional corporate and business projects, as well as post-closing MA disputes nationwide and pre-transaction underwriting and risk assessment with respect to transaction risk insurance. Duties:Handle traditional corporate and business projectsWork on post-closing MA disputes nationwideAssist in pre-transaction underwriting and risk assessment for transaction risk insuranceConduct legal research and analysis related to corporate transactionsDraft and review corporate documents, including contracts, agreements, and governance documentsAssist in due diligence investigations for mergers and acquisitionsProvide legal advice and counsel to clients on corporate governance mattersCollaborate with internal and external stakeholders to achieve client objectivesAssist in negotiations and closings of corporate transactionsStay updated on relevant laws, regulations, and industry trends Requirements:Juris Doctor (J.D.) degree from an accredited law schoolAdmission to the state Bar association in good standing2-4 years of experience in corporate law, with a focus on complex business transactionsUndergraduate degree in finance or accounting preferredCPA, CFA, or other accounting/valuation credentials preferredStrong academic credentialsExcellent written and oral communication skillsAbility to work independently and collaboratively Education:Juris Doctor (J.D.) degree from an accredited law school Certifications:Admission to the state Bar association in good standingCPA, CFA, or other accounting/valuation credentials (preferred) Skills:Legal research and analysisDrafting and reviewing corporate documentsMergers and acquisitionsCorporate governanceContract negotiationDue diligence investigationsCommunication and interpersonal skillsAbility to work under pressure and meet deadlines With a lineage of over a century, this law firm provides the legal expertise and resources required for successfully handling the most complex and sophisticated legal issues with the efficiency, agility, and responsiveness that are commonly associated with a local, mid-size law firm.
