The ideal candidate should possess a substantial corporate transactional background, including experience in venture capital, MA, and/or private equity transactions. Strong academic credentials and exceptional written, interpersonal, and communication skills are required, along with a background in securities, MA, and venture capital transactions.Duties:Handle various corporate transactions, including venture capital, MA, and private equity deals.Draft and review sophisticated corporate documentation.Manage transactions and assist ongoing clients with general corporate matters.Provide legal advice and guidance on corporate transactions and compliance matters.Conduct due diligence reviews and assist with transaction closings.Collaborate with partners, clients, and opposing counsel as needed.Requirements:4-5 years of experience in corporate law.Substantial corporate transactional background, including venture capital, MA, and/or private equity transactions.Strong academic credentials.Exceptional written, interpersonal, and communication skills.Background in securities, MA, and venture capital transactions.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the California State Bar or eligibility for reciprocity.Skills:Proficiency in drafting and reviewing corporate documentation.Ability to manage multiple transactions and clients simultaneously.Strong analytical and problem-solving skills.Attention to detail and accuracy.Team player with the ability to work independently when necessary.Knowledge of securities regulations and corporate governance principles.
