Summary: Represents NJ TRANSIT's interests in a wide variety of corporate legal matters, involving but not limited to Bidding/Procurement, Compliance, Corporate Governance, Risk Management, Insurance, Contract Law/Litigation and OPRA by providing timely legal advice and counsel, ensuring compliance with applicable laws and regulations, and by anticipating issues and estimating risks strategically. Roles and Responsibilities : Performs the duties of the General Counsel in his/her absence and represents the General Counsel at external meetings, task forces, working groups or committees as needed. Coordinates activities of importance, tracks priority issues and ensures proper follow-up. Assists in the management of the NJ TRANSIT legal office, including managing daily operations and legal staff. Directs the general administration activities necessary for staff development, document control, management information systems, etc. Implements quality review of processes and documentation and ensures ongoing training of legal team to ensure compliance. Evaluates staff on an annual basis through performance appraisals. Directs NJ TRANSIT's legal function in collaboration with General Counsel. Conducts legal research as assigned, including fact-finding activities and investigations. Reviews, analyzes, approves and executes, or recommends execution of contracts, change orders, disputes and claims in accordance with Federal, State and Board rules and regulations, as applicable. Partners with internal customers to ensure agency goals are met, identifying proactive, innovative solutions to eliminate or mitigate risks. Determines the impact of evolving procurement, socioeconomic, financial, labor, environmental, ethical and other regulatory requirements, and develops standard contract documents, policies and procedures to address same. Manages team to follow these policies, procedures, ethical and regulatory requirements. Assist the General Counsel in the management of the Open Public Record Act (OPRA) unit. Actively manage litigation cases collaborating with approved outside counsel to achieve positive outcomes. Provide expert advice and guidance to the CEO, Board of Directors and committees on various governance policies, guidelines, and recommendations. Other duties as assigned by the General Counsel to support the mission of NJ TRANSIT. This position supervises Associate and Assistant General Counsels. Education, Experience, and Qualifications : Juris Doctorate, licensed and in good standing in the State of New Jersey, with 10+ years' experience in the practice of law including, but not limited to corporate law and litigation, administrative proceedings, plus 5 or more years in a supervisory or management capacity overseeing legal professionals. Knowledge and Skills : A blend of in-house, large law firm experience and/or public sector experience preferred. First-class interpersonal and communication skills and executive presence. Experience in the transportation/transit industry, as well as the operation of government and private industry. Strong corporate litigation background is a plus.
