The ideal candidate will have expertise in the preparation, review, and negotiation of acquisition and financing agreements, along with related organizational documents. Prior experience in fund work is preferred, and relevant general corporate experience will also be considered.Duties:Led and managed mergers and acquisitions transactions from inception to closing.Draft, review, and negotiate acquisition agreements, financing agreements, and related organizational documents.Conduct due diligence on target companies to identify legal and business issues.Advise clients on legal matters related to mergers, acquisitions, and corporate transactions.Collaborate with internal and external stakeholders, including clients, opposing counsel, and other parties involved in transactions.Requirements:Juris Doctor (JD) degree from an accredited law school.Admitted to the State Bar of Texas or eligible for admission.4-6 years of experience practicing law with a focus on mergers and acquisitions.Proven experience in drafting and negotiating acquisition and financing agreements.Strong understanding of corporate law and business transactions.Certifications:State Bar of Texas admission or eligibility for admission.Skills:Excellent legal research and writing skills.Strong analytical and problem-solving abilities.Effective communication and negotiation skills.Ability to work independently and collaboratively within a team.Detail-oriented with a focus on accuracy and precision.Proficient in Microsoft Office Suite and legal research tools.
