The ideal candidate will have strong academic credentials and excellent oral and written communication skills. Applicable Bar admission for the desired jurisdiction is required. Duties:Provide legal counsel and representation to clients in corporate, MA, securities, and finance transactions.Draft, review, and negotiate transactional documents, including merger agreements, stock purchase agreements, financing agreements, and securities filings.Conduct due diligence reviews and analysis for transactions.Advise clients on corporate governance matters and compliance with securities regulations.Collaborate with clients, opposing counsel, and other stakeholders to negotiate and finalize deals.Handle all aspects of transactional matters, including deal structuring, document drafting, and closing.Assist with regulatory filings and compliance matters.Stay updated on changes in corporate, securities, and finance laws and regulations.Provide legal advice and guidance on transactional matters to clients and colleagues. Requirements:6+ years of experience with corporate, MA, securities, and/or finance transactions.Applicable Bar admission for the desired jurisdiction.Strong academic credentials.Excellent oral and written communication skills.Ability to work independently and as part of a team.Attention to detail and accuracy in legal work. Education and Certifications:Juris Doctor (J.D.) degree from an accredited law school.Applicable Bar admission for the desired jurisdiction. Skills:Proficiency in drafting and negotiating transactional documents.Strong analytical and problem-solving skills.Knowledge of corporate governance and securities regulations.Ability to manage multiple projects and prioritize tasks effectively.Excellent interpersonal skills and ability to build client relationships.Commitment to providing high-quality legal services.
